Terms of Service
Effective September 27, 2026
These terms are an agreement between you and Annula ("we") for your use of useannula.com, the Annula web app, the Mac app and the iPhone app (the "Service"). By using the Service, you agree to them. If you use it for an organization, you agree on its behalf.
1. The Service
Annula is research software. It helps you keep investment theses, organize public information, run calculations and track your own decisions. It includes an optional AI delegate that acts within goals and rules you set. The Service is in beta: features may change, break or be removed, and access may be limited by invitation.
2. Not investment advice
Annula is not a broker-dealer, investment adviser or financial planner, and nothing in the Service is a recommendation to buy, sell or hold any security. Every investment decision is yours. Please read the full Investment Disclaimer, which is part of these terms.
3. Eligibility and accounts
You must be at least 18 and able to form a binding contract. Keep your sign-in secure and tell us at team@useannula.com if you think someone else has used your account. You're responsible for activity under your account.
4. Your content
You own the research, notes and other content you put into Annula ("Your Content"). You give us permission to host, process, copy and display Your Content only as needed to run and improve the Service for you, including sending parts of it to the AI engine you choose. We don't sell Your Content or use it to train AI models. You can export or delete it at any time.
5. The AI delegate
AI output can be wrong, incomplete or out of date. Annula labels which results come from calculations, sources, AI models or you, and logs what the delegate does. You're responsible for reviewing its work, for the goals and rules you set, and for any action you take based on it. The delegate never places trades.
If you connect your own engine, such as an API key, Codex, Claude Code or a local model, your use of that engine is also governed by its provider's terms, and any fees are between you and that provider.
6. Data from third parties
The Service shows data from public sources such as SEC EDGAR and government agencies, and from licensed providers. It may be delayed, incomplete or inaccurate, and it's provided as is. Some data is licensed only for your personal use inside the Service; you may not redistribute it, resell it or use it to build a competing data product.
7. Acceptable use
Don't use the Service to break the law or anyone's rights; scrape, copy or resell the Service or its data in bulk; interfere with or overload our systems; probe for vulnerabilities except through responsible disclosure to team@useannula.com; share your account or get around usage limits; or publish AI output from the Service as professional financial advice.
8. Plans, fees and trials
The core app is free. Paid plans are billed monthly in advance and renew automatically until you cancel. You can cancel any time; access continues to the end of the paid period. Usage beyond an included allowance is billed as described on the pricing page, up to any cap you set. We'll give you at least 30 days' notice before a price change affects you. Fees exclude taxes unless stated.
9. Beta features and changes
Features marked beta, preview or later are provided without guarantees. We may change or stop parts of the Service. If we stop a paid feature you rely on, we'll give notice and a prorated refund where appropriate.
10. Ending the agreement
You can stop using the Service and close your account at any time. We may suspend or end access if you break these terms or if we must by law, and we'll tell you why where we can. After closing, you have 30 days to export Your Content.
11. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent allowed by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement.
12. Limitation of liability
To the fullest extent allowed by law, Annula will not be liable for indirect, incidental, special, consequential or punitive damages, or for investment losses, lost profits or lost data, arising from your use of the Service. Our total liability for any claim is limited to the greater of the fees you paid us in the 12 months before the claim or US$100.
13. Indemnity
You agree to defend and indemnify Annula against claims arising from Your Content, your misuse of the Service or your breach of these terms.
14. Governing law and disputes
These terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us at team@useannula.com so we can try to resolve it informally within 30 days.
15. Changes to these terms
We may update these terms. If a change is material, we'll notify you before it takes effect. Continuing to use the Service after that means you accept the new terms.
